Clear boundaries before sensitive work begins.

CONFIDENTIALITY

Leaders need room to think honestly. GovGuru treats non-public information shared in an Executive Advisory or Project Advisory engagement with care, subject to applicable public-records and transparency laws. Confidentiality has legal and practical limits, especially where a public agency is involved.

An NDA can define the working boundary

A mutual nondisclosure agreement can protect information shared while an engagement is being evaluated or carried out. It can cover client information and GovGuru’s proprietary methods, frameworks, and assessment materials, including the Leadership & Organization Assessment.

An NDA does not create an exception to the California Public Records Act or another disclosure requirement. A public agency may have to disclose records it is legally required to release. Specific trade secrets and other potentially protected material should be identified rather than relying on a blanket confidentiality label.

Before an agreement is signed

Requesting or holding a consultation does not, by itself, create a confidential client relationship. Use the initial form for a high-level description only. Do not submit sensitive matter details, personnel information, confidential agency records, assessment responses, or legally protected material through the form.

If the work moves forward, GovGuru and the client decide together whether an NDA is appropriate and agree on a suitable way to exchange information.

Where a public agency is the client

Where a public agency is the client or the sponsor of the work, material created for the engagement, including the Leadership & Organization Assessment, may be an agency record. The agency decides what is disclosed. Everything here is subject to applicable public-records and transparency laws.
